The Agreement is between Crawlhub, a company registered in Lithuania, registered address Kęstučio g. 41A, Vilnius, Lithuania ("Crawlhub", "we", "us", "our"), and the organization or individual who accepts these GC by signing an Order, paying for the Services or using the Services in any way, as identified in the Order, invoice or account details (the "Customer", "you", "your").
Crawlhub provides the following services (the "Services"):
- residential proxies;
- ISP proxies;
- Datacenter proxies;
- Web Scraping API (web scraping API returning raw page content);
- SERP API (Google Search, Ads and AI Overviews results in HTML and JSON); and
- any other data collection products Crawlhub may offer from time to time.
The parties agree which Services Crawlhub provides through each Order or subscription plan.
Acceptance. You accept this Agreement by signing an Order, paying for the Services or starting to use them. If you accept on behalf of an organization, you confirm you are authorized to bind it.
No competitive use. Without our prior written consent, you may not use the Services to benchmark or monitor their availability, performance or functionality, or for any other competitive purpose.
Changes. We may update these GC. For material changes we will publish the new version at https://crawlhub.ai/legal/crawlhub-general-conditions and notify you by email. Changes take effect 14 days after the notice; continued use after that date means you accept them.
These GC apply to every current and future Order between Crawlhub and the Customer and to your use of the Services generally. They are made available for review before you sign an Order or start using the Services. The Agreement takes effect on the date stated in the Order, the date of your first payment, or the date you first use the Services, whichever is earliest.
1. Agreement documents and subject matter
1.1. Unless the parties agree otherwise in writing, the Agreement consists of:
- These GC, which apply to every Order, addendum and agreement between Crawlhub and the Customer and to any use of the Services. The GC set out general rights and obligations, payment terms, liability and other general terms. They are not signed separately; they are accepted by signing an Order, paying or using the Services. The current version is published at https://crawlhub.ai/legal/crawlhub-general-conditions and can be sent by email on request.
- The Order, which sets out the parties, the Services, plan or volume, prices and other specific terms. By signing an Order, paying or using the Services, the Customer also agrees to these GC.
- The Acceptable Use Policy ("AUP") at https://crawlhub.ai/legal/crawlhub-acceptable-use-policy, which sets out what the Customer may and may not do with the Services.
- The Documentation at developers.crawlhub.ai, which describes how the Services are accessed and used.
1.2. Where the Customer uses the Web Scraping API or SERP API to process personal data (as defined in the EU General Data Protection Regulation), the Data Processing Agreement ("DPA") at https://crawlhub.ai/legal/crawlhub-data-processing-agreement also forms part of the Agreement. The DPA is accepted together with these GC and is not signed separately.
1.3. The parties may agree several Orders over time, for example for upgrades, changes or additional Services.
1.4. If these GC and an Order conflict, the Order prevails. Otherwise, the document signed, agreed or amended most recently prevails.
1.5. The Services covered by this Agreement are one or more of the following, as set out in the Order:
- Residential proxies — access to Crawlhub's residential proxy pool and its maintenance for the agreed term and specifications.
- ISP proxies — access to dedicated ISP proxies assigned exclusively to the Customer, and their maintenance for the agreed term and specifications.
- Datacenter proxies — access to dedicated datacenter proxies assigned exclusively to the Customer, and their maintenance for the agreed term and specifications.
- Web Scraping API — access to Crawlhub's web scraping API, which returns raw page content from target websites, for the agreed term and specifications.
- SERP API — access to Crawlhub's API for collecting Google Search, Ads and AI Overviews results in HTML or JSON, for the agreed term and specifications.
- Data delivery — where an Order expressly says so, Crawlhub may collect and deliver the requested data to the Customer directly.
1.6. The geographic location of proxies is determined using IP2Location data (available at https://www.ip2location.com) and/or GeoLite2 data by MaxMind (available at https://www.maxmind.com), or another recognized IP geolocation database chosen by Crawlhub. Location results may vary between databases.
2. Provision of Services
2.1. The Services are deemed accepted 7 days after Crawlhub delivers access credentials, unless the Customer sends a written rejection before then. The Customer may reject only if the Services materially deviate from the Order's specifications, and must describe the deviation. Crawlhub will then fix the deviation and redeliver within 7 days.
2.2. Crawlhub may use subcontractors and third-party infrastructure providers to deliver the Services. Crawlhub remains responsible for the acts and omissions of subcontractors it controls or is affiliated with, in connection with this Agreement.
2.3. Unless the Order says otherwise, the Customer pays a fixed plan fee for each billing period, which is added to the Customer's account as credit balance in the plan currency ("Credit"). Use of any Service is deducted from the Credit at the rates for that Service under the Customer's plan. Unused Credit carries over to following billing periods and does not expire while the Customer's account remains active. Credit is not cash, cannot be transferred, and is not refundable on termination unless the law requires otherwise.
2.4. A single Crawlhub subscription plan may give access to several Services. How plan volume is counted for each Service is described on the pricing pages and in the Dashboard.
3. Payment terms
3.1. The Customer pays all fees for the Services in the currency, at the prices and on the terms set out in the Order or the selected plan.
3.2. All fees are payable in full, without deduction for any taxes, levies, duties or other charges. If the Customer must withhold tax, it pays the withheld amount on top so that Crawlhub receives the full fee.
3.3. Crawlhub adds applicable taxes (including VAT, sales, use or similar taxes) to the fees where required by law, and remits them to the relevant authority, unless the Customer provides valid proof of exemption.
3.4. Crawlhub accepts the following payment methods: (a) bank transfer; (b) credit, debit or prepaid card; and (c) third-party payment providers listed on crawlhub.ai.
3.5. By choosing a payment method, the Customer (i) confirms it is authorized to use it and that the payment details are true and accurate; and (ii) authorizes Crawlhub to charge it for the Services, including recurring charges for subscriptions, for the full term of the Order.
3.6. Plans. Crawlhub offers subscription plans (for example Starter, Basic, Advanced, Flexible and Enterprise), as described on the pricing page or in the Order.
3.7. Billing. Self-serve plans are billed in advance at the start of each billing period and renew automatically until cancelled. If the Customer needs more than its plan includes, it may buy a top-up at any time from its dashboard; top-ups are charged immediately at the overage rate for that plan. Enterprise plans (custom plans not listed on the website) are billed the same way, but cannot be cancelled from the dashboard; they may be terminated only on 90 days' written notice under the Customer's dedicated agreement.
3.8. Unless the Order says otherwise, invoices are payable within 7 calendar days of receipt.
3.9. Overdue amounts may accrue late interest of 2% per month on the outstanding balance.
3.10. If any amount is 14 or more days overdue (7 or more days for card payments), Crawlhub may, without limiting its other rights, make all unpaid fees immediately payable and suspend the Services until payment is received in full.
3.11. If the Customer defaults on payment, it will reimburse Crawlhub's reasonable collection costs, including legal and debt-collection fees.
3.12. Payments are applied first to accrued interest, then to outstanding invoices.
3.13. Refunds. Except where the law or an Order provides otherwise, all purchases are final and non-refundable. Billing errors must be reported within 30 days of the charge; older charges are not refunded unless required by law. Any refund or credit beyond this is at Crawlhub's discretion and does not create an obligation to grant similar refunds later.
3.14. Disputed invoices. The Customer pays the part it believes in good faith is correct and sends written notice explaining why the remainder is wrong, with supporting documents. If unresolved, either party may pursue any legal remedy. If the disputed amount turns out to be payable, interest runs from the original due date.
4. Rights and obligations
4.1. Both parties
- Neither party will solicit for employment the other party's employees who work or worked on the Services, during the Agreement and for 1 year after it ends.
- Both parties will act in good faith and cooperate so the Services can be provided.
4.2. The Customer will:
- meet its obligations under this Agreement and each Order properly and on time, including paying the fees;
- take part actively, with its staff, where its involvement is needed for Crawlhub to provide the Services;
- stay within the usage limits (type, volume, concurrency, rate) set in the Order, the plan or the Documentation, unless permitted otherwise;
- use the Services only for lawful, legitimate purposes, in line with industry best practice and this Agreement, and never for competitive purposes;
- comply with all applicable laws and regulations, the AUP, and any terms of service, policies or third-party rights that apply to its use of the Services, including law and practice on automated data collection;
- not do anything that would cause Crawlhub to breach, or be associated with a breach of, data protection laws (EU, US or other) or third-party intellectual property rights;
- keep its access credentials and API keys confidential and not share them. The Customer is responsible for all activity under its account and must notify Crawlhub immediately of any unauthorized access or use;
- use the Services only by and for itself.
4.3. The Customer will not:
- sell, resell (unless an Order expressly allows it), license, sublicense, distribute, rent, lease or otherwise make the Services available to others;
- interfere with or disrupt the integrity or performance of the Services;
- allow access or use that circumvents usage limits or other specifications, or breaches the AUP;
- use Crawlhub's intellectual property except as this Agreement allows;
- modify, copy or create derivative works of the Services or any part, feature or interface of them;
- disassemble, reverse engineer or decompile the Services, or access them to build a competing or similar product, copy their features, functions or graphics, or assess them for patent purposes.
4.4. Crawlhub will:
- meet its obligations under this Agreement and each Order properly and on time;
- provide the Services with at least reasonable skill and care, in line with industry standards;
- provide support where agreed in the Order or plan;
- use reasonable efforts to keep the Services available 24/7, except for (i) planned maintenance, notified in advance by email, and (ii) unavailability caused by events beyond Crawlhub's reasonable control, such as natural disasters, government action, civil unrest, terrorism, labor disputes (other than of Crawlhub's own staff), failures of internet or upstream infrastructure providers, or denial-of-service attacks;
- be responsible for the performance of its staff and contractors under this Agreement;
- give the Customer the information it reasonably needs to use the Services.
4.5. Crawlhub may:
- monitor the Customer's use of the Services where it considers this necessary to exercise its rights and obligations under this Agreement;
- suspend all or part of the Services, without liability, if it believes in its sole discretion that there is a security emergency or that the Customer has breached this Agreement, in particular its payment obligations or the AUP.
5. Representations and warranty disclaimer
5.1. Each party confirms it has validly entered into this Agreement and has the legal capacity to do so.
5.2. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". NEITHER CRAWLHUB NOR ITS OFFICERS, EMPLOYEES, AFFILIATES, SUPPLIERS OR AGENTS MAKES ANY REPRESENTATION OR WARRANTY ABOUT THE SERVICES OR THE RESULTS OF USING THEM, INCLUDING THAT ANY TARGET WEBSITE WILL BE ACCESSIBLE OR THAT ANY DATA WILL BE COMPLETE OR ACCURATE. CRAWLHUB DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. CRAWLHUB IS NOT RESPONSIBLE FOR CONTENT ACCESSED, COLLECTED OR TRANSMITTED BY THE CUSTOMER OR OTHERS, OR FOR UNAUTHORIZED USE OR MISUSE OF THE SERVICES.
6. Limitation of liability
6.1. NEITHER CRAWLHUB NOR ANYONE INVOLVED IN CREATING, DELIVERING OR SUPPORTING THE SERVICES IS LIABLE TO THE CUSTOMER OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM THE SERVICES OR INABILITY TO USE THEM, INCLUDING LOST REVENUE, PROFITS, DATA, TECHNOLOGY OR BUSINESS, WHETHER IN CONTRACT, TORT OR OTHERWISE.
6.2. EACH PARTY'S TOTAL LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT WILL NOT EXCEED 2 TIMES THE FEES PAID OR PAYABLE BY THE CUSTOMER FOR THE BILLING PERIOD IN WHICH THE LOSS OR BREACH OCCURRED.
6.3. CRAWLHUB HAS NO LIABILITY FOR SERVICES PROVIDED UNDER A FREE TRIAL. IF THIS EXCLUSION IS UNENFORCEABLE UNDER APPLICABLE LAW, CRAWLHUB'S LIABILITY FOR FREE-TRIAL SERVICES IS LIMITED TO 100 EUR. THE CUSTOMER REMAINS LIABLE, TO THE FULLEST EXTENT PERMITTED BY LAW, FOR DAMAGES ARISING FROM ITS USE OF A FREE TRIAL.
6.4. THESE LIMITATIONS APPLY (a) TO NEGLIGENCE; (b) WHATEVER THE FORM OF ACTION; (c) EVEN IF CRAWLHUB WAS ADVISED OF, OR COULD FORESEE, THE DAMAGES; AND (d) EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. WHERE APPLICABLE LAW RESTRICTS THEM, CRAWLHUB'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
6.5. The limitations in this section 6 do not apply to: (a) the Customer's obligation to pay fees under section 3 and the Order; (b) claims against the Customer for infringing Crawlhub's intellectual property; or (c) indemnification obligations under section 7.
7. Indemnification
7.1. By the Customer. The Customer will defend and indemnify Crawlhub against any third-party claim, suit or proceeding arising from or related to:
- the Customer's breach of this Agreement, the AUP or the DPA (if applicable); or
- the Customer's use of the Services, including claims of copyright or other intellectual property infringement, defamation, collection or transmission of obscene, offensive, threatening or harassing material, or breach of data protection law, to the extent based on (i) third-party content the Customer accessed, collected, transmitted, published or otherwise used, or (ii) use of the Services inconsistent with this Agreement or the AUP.
7.2. Crawlhub will notify the Customer promptly of any such claim and cooperate in the defense. The Customer controls the defense, except that (i) any settlement requiring Crawlhub to admit liability needs Crawlhub's prior written consent, not to be unreasonably withheld or delayed; and (ii) Crawlhub may join the defense with its own counsel at its own cost.
8. Third-party data and content
8.1. Through the Services, the Customer may access, collect, transmit, reproduce or otherwise use ("Access") third-party data, content and resources ("Data"). Before Accessing Data, the Customer is responsible for checking any consents, rights and restrictions that apply to it, including the terms of service and policies of the relevant websites.
8.2. The Customer is solely responsible for the Data it Accesses and how it uses it. The Customer will not use the Services in a way that infringes applicable law, third-party rights (including privacy and intellectual property), this Agreement or the AUP.
8.3. Crawlhub may suspend, at any time and without notice, any user who acts contrary to this section. Crawlhub will not suspend the Customer on these grounds while the Customer Accesses Data lawfully.
9. Intellectual property
9.1. The Services, including all software, APIs, Documentation and related materials, are owned by Crawlhub or its licensors and are protected by copyright and other intellectual property laws. The Customer receives only the rights expressly granted in this Agreement.
9.2. Unless the Customer opts out in writing, Crawlhub may use the Customer's name and logo to identify it as a customer in Crawlhub's marketing materials.
10. Term and termination
10.1. The Agreement starts when the Order is signed, the first payment is made or the Customer first uses the Services, and continues for the term of any active Order or for as long as the Customer uses the Services.
10.2. For cause. Either party may terminate for the other's material breach by written notice describing the breach. Termination takes effect 14 days after the notice unless the breach is cured, or immediately if it cannot be cured.
10.3. For convenience. Self-serve plans may be cancelled at any time from the dashboard, effective at the end of the current billing period, with no refund for that period. Enterprise plans may be terminated by either party only on 90 days' written notice, as set out in the Customer's dedicated agreement.
10.4. Crawlhub may immediately suspend the Services or terminate this Agreement or any Order if it believes the Customer has breached the AUP.
10.5. Unless the Order says otherwise, at the end of the initial term the Services renew automatically for successive periods of the same length, unless either party gives written notice of termination under this section 10.
10.6. These survive termination or expiry: (a) the Customer's obligation to pay fees incurred before termination; (b) sections 5.2, 6, 7, 11 and 12; and (c) any other provision that by its nature must survive.
11. Confidentiality
11.1. "Confidential Information" means information one party ("Discloser") discloses to the other ("Recipient") that is (a) marked confidential; (b) identified as confidential orally and confirmed in writing within 5 business days; (c) access credentials, API keys or source code provided by Crawlhub, marked or not; or (d) otherwise non-public and sensitive. It excludes information that (i) the Recipient already had; (ii) the Recipient developed independently; (iii) becomes public other than through the Recipient's fault; or (iv) the Discloser approves for release in writing.
11.2. The Recipient will use Confidential Information only to perform this Agreement (the "Purpose"). It will disclose it only to staff or contractors who need it for the Purpose and are bound by confidentiality terms at least as strict as these, and to no other third party without the Discloser's prior written consent. It will protect it with at least the care it uses for its own similar information, and no less than reasonable care, and will promptly notify the Discloser of any misuse. Disclosure required by law or a competent authority is permitted.
11.3. Injunctive relief. A breach of this section may cause irreparable harm, so the Discloser may seek injunctive relief in addition to other remedies, without proving actual damage or posting security.
11.4. Duration and return. These obligations end 2 years after the last Order ends or use of the Services stops, whichever is later. On termination, the Recipient will return or destroy all Confidential Information and confirm this in writing on request.
11.5. This Agreement does not transfer ownership of, or license, any Confidential Information.
11.6. Feedback. Suggestions or ideas the Customer gives about the Services ("Feedback") are not Confidential Information. Crawlhub may use, disclose and exploit Feedback freely, without compensation or attribution.
12. Governing law and disputes
12.1. THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE REPUBLIC OF LITHUANIA.
12.2. Before starting any proceedings, each party will first try to resolve the dispute by notice under clause 13.3. If it is not resolved within 30 days of that notice, either party may bring proceedings before the courts of the Republic of Lithuania, Vilnius.
12.3. The Customer may bring claims against Crawlhub only individually, not as a plaintiff or class member in any class, consolidated or representative action.
13. Additional provisions
13.1. Entire agreement. This Agreement, including all Orders and documents incorporated by reference, is the entire agreement between the parties on its subject matter and supersedes all prior agreements and understandings.
13.2. Severability. To the extent permitted by law, the parties waive any rule that would make a clause invalid. If a clause is held invalid or unenforceable, it will be applied as far as possible to achieve its purpose, and the rest of the Agreement stays in force.
13.3. Notices. Notices are sent by email and take effect on receipt. Notices to Crawlhub go to hello@crawlhub.ai or the address in the Order; notices to the Customer go to the account or Order email.
13.4. Assignment. The Customer may not assign or transfer this Agreement without Crawlhub's written consent. Crawlhub may not assign it without the Customer's written consent, except in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of its assets, in which case Crawlhub will give 14 days' notice. Any other assignment is void.
13.5. No waiver. A right is waived only by an express written waiver from an authorized representative. Waiving one breach does not waive any other.
13.6. Interpretation. The rule that ambiguities are interpreted against the drafting party does not apply.
13.7. Force majeure. No delay or failure, other than a failure to pay fees, is a breach to the extent caused by war, terrorism, natural disasters, labor disputes, civil unrest, embargoes or other causes beyond the affected party's reasonable control.
13.8. Relationship. The parties are independent contractors. Nothing here creates an agency, partnership, joint venture or fiduciary relationship, and neither party may bind the other. This Agreement gives no rights to any third party.
13.9. Export controls and sanctions. The Services may be subject to export control and sanctions laws. The Customer confirms it is not located in, controlled by, or a national or resident of a sanctioned country or region, and is not listed on any sanctions list.
